Who is entitled to participate?

Shareholders who wish to participate in the meeting must:

  • be listed as owner in the company’s share register printed out by Euroclear Sweden AB on Wednesday May 13, 2020, and
  • have notified the company via the Company’s website  or via e-mail or by post to Climeon AB att: Marika Hverén, Torshamnsgatan 44, 164 40 Kista at the latest by May 13, 2020, at 16.00 hours. The notice shall include information on name, personal identity number/registration number, share-holding and, if applicable, details of any representatives and assistants, as well as contact details.

Nominee shares

Shareholders with nominee shares must, in order to be entitled to participate in the meeting, ar-range to be temporarily registered by Euroclear Sweden AB. The nominee must be notified of this in good time before May 13, 2020, at which date such registration must be effected in order to be included in the share register printed by Euroclear Sweden AB that day.

Proxy

The shareholders’ rights at the annual general meeting may be exercised by proxy. Power of attorney must be dated and signed and shall be brought in original to the annual meeting. Further-more, representatives of legal entities are requested to bring with them a certified copy of the certificate of registration of the legal entity or similar qualification documents when they attend the annual meeting. Proxy form is available at the Company’s website.

Special Notice

Owing to Covid-19, reference is made to separate information available at the company’s web site regarding proposed measures at the AGM in order to reduce the risk of infection spread, which among all implies that no CEO speech will be held at the meeting. The CEO’s speech will be published at the company’s web site at a later time, in close proximity to the meeting.

Vid anmälan skall namn, person- eller organisationsnummer, registrerat aktieinnehav, eventuellt ombud eller biträden samt kontaktuppgifter uppges.

Förvaltarregistrerade aktier

Aktieägare som låtit förvaltarregistrera sina aktier måste dessutom, för att äga rätt att delta på stämman, tillfälligt begära att bli införd i den av Euroclear Sweden AB förda aktieboken. Viktig information med anledning av Covid-19

Med anledning av coronaviruset hänvisas till separat information på bolagets hemsida gällande vissa föreslagna åtgärder vid årsstämman 2020 för att minska risken för smittspridning, bl a innebärande att inget VD-anförande kommer att hållas under stämman. VD:s anförande kommer att publiceras på bolagets hemsida vid ett senare tillfälle, i nära anslutning till stämman.

For renewable energy technologies such as wind and solar power, the environmental payback time is around six and 18 months, respectively. The production of Climeon Heat Power system requires approximately 40 000 kWh (kilowatt hours) of energy. Hence the module needs up to 15 days to compensate for the amount of energy used in production, resulting in an environmental payback time of less than two weeks.

Viking Line is a ferry operator in the Baltic region and has seven vessels going between Finland, Sweden and Estonia. 6.6 million passengers travel with Viking Line every year. In 2013 Viking Grace was built and she was the first ship that was built with LNG as fuel. As a shipping company on the Åland Islands, between Sweden and Finland, the company places great importance upon protecting the sea environment that they are surrounded by. They strive to be the forerunner in utilizing new solutions that reduce environmental impact.

THE OPPORTUNITY

After personnel, energy is the second biggest cost for Viking Line and therefore energy efficiency is crucial. Viking Line is continuously working to find solutions that are both economically and environmentally profitable. A ship's engine generates large amounts of waste heat found in the engine cooling water and exhaust gas, which can be turned into valuable electricity (fuel savings) with a Climeon Heat Power system.

OUR SOLUTION

The pilot project for Climeon was designed for an easy retrofit application, so no major construction was needed on the boat and the installation could take place during normal operation. Climeon's Heat Power system utilizes waste heat from the ferry's engines and exhaust gases. On average 700,000 kWh clean and emission-free electricity is produced annually. The electricity is primarily used on the cabin decks, for example for the lighting.

THE OPPORTUNITY

Steel manufacturing is energy and resource intensive and has an impact on the environment globally and locally. An environmentally-friendly electricity production is a crucial step towards the Swedish steel industry’s goal of a more sustainable steel production. As a part of the goal of a fossil free Swedish steel industry in 2045, SSAB decided to adopt Climeon’s Heat Power solution on their site in Borlänge to convert waste heat from the reheating furnace and continuous annealing line into heat power and 100% clean electricity.

The plant is conveniently located along Dalälven, a river in Sweden between the mountains of Dalarna and the Baltic Sea, which allows for a cool year-round temperature and makes for an ideal cooling source.

OUR SOLUTION

Climeon has utilized waste heat from the reheating furnace and continuous annealing line to provided stable green electricity to support production equipment. The installed system dynamically adjusts operating point to waste heat load and seamlessly works with varying production load and seasonal variation. Heat output from Climeon is added to the district heating network.

The system was originally installed at SSAB's site in Borlänge in 2015. The system has the capacity to produce an annual output of 1300 MWh of clean electricity. The electricity produced is currently being used to power internal operations at the plant, resulting in significant utility savings for the company's Borlänge plant.

On Scarlet Lady, Virgin Voyages' premiere ship, roughly 60% of fuel consumption is for propulsion and 40% is for powering on-board operations. The ship will require 4800 kW on-board electricity - enough to power a small city. Virgin Voyages understands that fuel is the biggest impact they have on the environment and climate change. Reducing fuel needs means reduced fuel cost and impact on the environment.

By utilizing waste heat from the ship's engine, the Climeon Heat Power System is able to significantly increase engine efficiency and provide a substantial contribution to Virgin Voyage's mission of a net zero carbon future.

OUR SOLUTION

Fincantieri, the world leading company in cruise ship construction, was the first shipyard contracted to install the Climeon Heat Power System on new cruise ships. The Climeon Heat Power System was delivered to the yard in 2017. Scarlet Lady, the first ship delivered to Virgin Voyages, completed Sea Trials in December 2019. The ship will make her maiden voyage in April 2020, with 3 ships to follow, by 2023.

Utilizing waste heat from the ships engine and cooling water from the sea, a 900 kW system, comprised of 6 Climeon Heat Power Units, was installed on-board the new ship.

Making a seamless integration between the systems on-board required cooperation between the shipyard, equipment manufacturers and ship owner. After successfully coordinating this teamwork, the Climeon Heat Power System is now completely integrated into the vessel's systems and operating autonomously.

Due to the energy efficiency on-board afforded by the Climeon Heat Power System and offsetting its direct climate change emissions through the purchase of carbon offsets, Virgin Voyages will be the first cruise line to become carbon-neutral for its direct emissions footprint from its first day of commercial operation.

THE FLÚDAORKA POWER PLANT

A new model for distributed geothermal heat power generation

Varmaorka is an Icelandic project developer that focuses on harnessing geothermal resources in areas where heat temperatures are approximately 100°C. Varmaorka develops, finances, constructs and operates small scale geothermal facilities in Iceland.

THE OPPORTUNITY

Flúðir might be best known for it’s natural hot spring the Secret Lagoon, the more subdued little sister of the popular Blue Lagoon, but this village of nearly 400 inhabitants is also the source of one third of the vegetables on Iceland, and home to the largest mushroom farm. And as you can imagine, keeping greenhouses operational during the long, dark winter months requires a lot of power.

The Flúdaorka Power Plant is located just outside Flúdir in southeast Iceland. The area is rich in geothermal heat, mainly used for district heating and green houses. There was an existing well, not in operation, when the planning of the power plant was initialized.

OUR SOLUTION

The power plant is compact in size consisting of a well pump, four Climeon HP units, a cooling circuit with wet cooling towers and a transformer station (see overview of the power plant shown in Figure 1).

The construction of the power plant began in May 2018 and commissioning was finished in March 2019. While this was record timing in Iceland, we've collected intelligence throughout the process in order to significantly decrease this time for future installations in Iceland through our planned expansion with Varmaorka.

In any new endeavor, challenges are met. We encountered this during commissioning when unexpected plant instability was found due to a higher gas content in the water than expected. This meant that the site could not be commissioned according to plan. A team of Climeon employees, Varmaorka employees, and Icelandic consultants were formed to troubleshoot and find a solution. After one and a half month a solution was found and commissioning continued.

Site automation was included in Climeon’s scope of supply. By adjusting the cooling towers and the HP 150 operation points it gives us the opportunity to optimize the site net power output. This optimization is ongoing and we are continuously developing the automation software to monitor performance and maximize power output.

Who is entitled to participate?

Shareholders who wish to participate in the Extraordinary General Meeting shall

  • be registered in the share register maintained by Euroclear Sweden AB on Wednesday, December 11, 2019, and
  • notify the intention to attend the Extraordinary General Meeting not later than Wednesday, December 11, 2019, at 4 p.m.

 

Shares registered by trustees

Shareholders that have their shares registered in the name of a nominee or a stock broker must, in addition to giving notice of participation in the meeting, temporarily be registered in the share register maintained by Euroclear Sweden AB in their own names (so called voting-rights registration) to be able to participate in the Extraordinary General Meeting. In order for such registration to be effectuated on Wednesday, December 11, 2019, shareholders should contact their bank or trustee well in advance of that date.

THE HEAT POWER PROCESS

The process is simple.

The Climeon Heat Power system utilizes the temperature difference between hot and cold water (or the heat exchange of gas or steam with hot water) to generate clean electricity. This results in less carbon emissions, improved efficiency and overall reduced environmental impact of the steel plant.

EFFICIENT, ECONOMICAL, PROFITABLE

The Climeon system combines high efficiency conversion of heat to electricity with a low cost, providing significant savings in fuel and electricity costs.

The proprietary technology operates at a lower pressure than traditional heat power solutions utilizing an Organic Rankine Cycle, ORC. The decrease in pressure allows our units to be smaller while still having double the efficiency of traditional ORC.

Climeon's ability to utilize low temperatures (70-120°C) with 50% higher efficiencies than other solutions makes it the global leader of low temp heat conversion technology.

FLEXIBLE AND SCALABLE DESIGN

The system's low pressure levels allow for a compact and modular design, making it easily scalable from a single 150 kW module, to 50 modules resulting in 7.5 MW. The modular design ensures optimal efficiency, even at partial load. Modules are automatically powered on, or off, to match thermal power, whenever there are fluctuations in the heat source. The Climeon system can be connected to any heat source, and comes as a complete product. It consists of only three moving parts per module: a turbine and two pumps.

The Climeon control system, Climeon Live, is a state of the art, customizable PLC. Each Climeon module is outfitted with multiple sensors.  Climeon takes this data and optimizes performance in real time, to ensure maximum energy generation. Climeon Live identifies potential faults before they arise, minimizing the risk of unplanned downtime. Climeon Live's API can also be integrated into external control systems, offering a valuable PR-message with emission-savings and clean electricity production output. Climeon live can also store data directly to the cloud for reverence and allow for remote control and monitoring.d specifications.

In the production of energy, auxiliary power plant equipment can consume 3 to 4% of the produced energy. This energy is consumed at market price which, for a typical 120 MW power plant, could equal a cost of 2,5 M€ per year.

Using the principles of an Organic Rankine Cycle but at much lower pressure levels, the Climeon Heat Power system exploits the temperature difference between hot and cold water to generate clean electricity.

Waste heat and geothermal heat make up one of the World's largest energy sources and it is highly underutilized today. The Climeon Heat Power System uses this energy source to produce a clean and reliable baseload power supply, available at all hours of the day and night, independent of weather conditions.

THE TECHNOLOGY

The Climeon module is based on ORC technology, which in short means using a hot source – high pressure – and a cold source – low pressure – to drive a flow that generates electricity.

The Climeon Heat Power units are designed to take maximum advantage of low temperature heat and can operate at double the efficiency of other low temp solutions. This is due to the engineering of the unit which utilizes low pressure, enabling:

SCALABLE MODULAR SOLUTION

Using Climeon’s standardized solution ensures reliability, cost competitiveness and quick deployment. Installed capacity is easily scalable from 150 kW onwards. The modularity allows for the Climeon system to scale with demand and availability. This allows for simple pilot projects that can easily be expanded to fully utilize all available heat. The modules can be configured either serially or parallelly to make optimal use of the heat source.

FLEXIBILTY

Because of the modular design, individual units can be taken offline for service without having to shut down the entire site, maximizing site availability. The modules can be delivered as and where they are needed, moved for use at another site, or even resold.

Climeon’s control and cloud service, Climeon Live, ensures that every running hour is as profitable as possible. By monitoring production and then analyzing it in the cloud, Climeon Live can fine-tune the running parameters and even provide preemptive maintenance.

Climeon Live offers several key benefits:

Continuous monitoring and advanced analytics enable finely tuned optimisations for enhanced performance. The results are higher conversion efficiency and lower CO2 emissions.

The software provides real-time system information and reports. Recorded data is used for historical performance reporting and trend analysis. The data can be accessed by users via computers and mobile devices.
